From September 2, 1997, to July 19th, 2007, Tammy Holt has been the owner of Sew Much More Sewing Center. Just last week on July 19th,2007, she closed the doors on a decade of fun, dedication, and many many, hours servicing the Golden Triangle's great need for a full service SEWING MACHINE DEALERSHIP. It has been a wonderful 10 year journey, and we have made many friends from our customer base, which we are going to miss so much. SINCE we did not SELL the Commercial Embroidery Business or the name "SEW MUCH MORE", we will continue to monogram and stitch for our commercial Embroidery Clients from my home. We won't have definite hours until I complete my chemo treatments. There will always be a note on the door keeping you posted as to my MD Anderson Appointments, until all is complete.
JULY 20, 2009 Now that a 2 year Non-Compete time has elasped, We are jumping back into a Sewing Machine Dealership! We have heard your pleas and have listened and have now responded! RE: Cease and Desist Notice dated October 29, 2009
I apologize for the delay in my response, but I had to get over the shock in the fact that I even have to waste my time responding. Obviously, I did not forward it to my attorney, John Johnson of Orgain, Bell and Tucker. I usually work directly with Christopher McKinney from OBT before talking directly to Mr. Johnson. If your clients feel the need to take me to court, then I will contact him. I did fax him over a copy of the contract before re-opening a Sewing Machine Dealership. I was advised that since a period of 2 years had elapsed, we did not anticipate any problems.
Here are some facts that I believe your clients, Paul and Cynthia Drawhorn failed to mention to you.
Your clients approached me about buying my business. The business of T. Holt, Incorporated consisted of two separate businesses. One being the Sewing Machine Dealership and the other being a Commercial Embroidery Business.
When negotiations first began, they wanted it all, plus the building that my business was located in. We had many discussions and offers and counter offers were made. Please keep in mind, that I was undergoing chemotherapy during all these meetings and negotiations.
I put them in contact with sales representative from Babylock and Brother.
Your clients are well aware that we did not re-write the contract every time they changed their mind. First, they were going with Babylock, then Phaff, and then Brother. They decided against buying the building. They decided on only Brother Machines and not Babylock also. They wanted all my commercial embroidery equipment and ten years of customer files for that end of my business also, but the money was not there for everything.
Your clients are well aware that we did not re-write the contract of selling Sew Much More after the many changes of our verbal discussions to close the deal. After many meetings and discussions, your clients decided not to purchase the commercial embroidery business or my physical building.
I did make a detailed inventory list of everything available for them to purchase and a detailed list of the fixtures that were included in the sale of the sewing machine dealership. When your clients did not buy my ENTIRE Business, we agreed on a price, the inventory, the fixtures, and the phone number. I DID NOT sell the name SEW MUCH MORE, since I would be continuing my Commercial Embroidery business.
From July 2007 through December 2008, I did not advertise my Embroidery business as I was still in treatments for Breast Cancer, but I was servicing my commercial clients out of my home. Your clients were well aware of this.
They were also aware of my expansion of my business out of my home to a portable building on my property. There was even an article in the Port Arthur News about my business continuing through cancer and treatment.
So if your clients had a problem with our contract, they should have sent a cease and desist letter in August 2007! I did give them a little over 2 years time before I reopened a sewing machine dealership. (August 1st,2009)
As for me not helping them, I was very ill for a very long time, but all they had to do was call. When they did call, I helped them. As for me not supporting them, have Ms. Drawhorn check her machine sales records for a customer named Barbara Crain. Check the date of the sale also. I referred her to Sew-n-Sews, and she purchased a Duetta from them. She is a personal friend of mine but within a 2 year time frame I did not do anything to undermine their business.
And yes, I am aware that they went through Hurricane Ike. They were not the only business that went through a hurricane. When Rita hit, I had Sew Much More, Garden Terrace Café, plus our home to deal with, since my husband is on the Hurricane Team for Total Petrochemicals and immediately returned to the refinery, but I certainly wasn’t closed for 8 months! My customers and my business were very important to me, and I was always available to them, even through nine months of my front door being inaccessible due to the Boston Avenue downtown restoration project. In other words, your clients like to blame everything and everyone else for their business not being where it should be. Ask them what their gross sales were in the first year, I sold them a “gold mine” business, but it takes hard work, dedication, personality, and knowledge of your products, and technical training to make it work. Maybe your clients should get out of the office and learn how to use and service the machines they sell!
